Job overview

We are recruiting for a Corporate Governance Officer to join our team at Oxford Health and deliver comprehensive secretariat support to the Board of Directors, its Committees and to the Council of Governors.    You'll be based within our Corporate Affairs Directorate at our headquarters in Oxford working closely with the Assistant Trust Secretary, Risk Assurance & Compliance Manager, another Corporate Governance Officer and senior leads in the directorate.   This is a key role within our Trust, supporting the senior team to deliver our objectives in corporate governance, risk management and committee and secretariat functions. You'll use your significant organisational and communication skills to coordinate and support committee meetings, events and collate reports across the annual business cycle. Key written deliverables will include committee workplans, minutes and action logs, committee documents e.g. terms of reference and committee annual reports.   You'll be a working with a variety of senior stakeholders across the Trust including the Board of Directors and Council of Governors so you'll need to be confident working with others, and have tact and diplomacy skills to navigate sensitive and complex information.     If you have experience in corporate governance or related roles, we'd love to hear from you!

Main duties of the job

  • Provide comprehensive and expert secretariat support to the board of directors, board committees and council of governor meetings with high-quality written deliverables including forward plans, minutes and committee annual reports. Support Non-Executive Directors (in particular Board Committee chairpersons) and the Lead Governor and Deputy Lead Governor, as may be required.
  • Interact tactfully and efficiently with the wider Board of Directors (which encompasses both Non Executive and Executive Directors) and with the Council of Governors, often fielding general queries from various Board and Council members with a high degree of professionalism, diplomacy and discretion.
  • On behalf of the senior management team prepare draft responses as necessary, identifying appropriate action or referral.  Initiate follow-up action where necessary and ensure deadlines are met.
  • Organise conferences/events, including liaising with speakers, sourcing venues, inviting participants and guests and devising and sending details of confirmation of booking and joining instructions etc.
  • Support the maintenance of: Corporate Registers (including the Register of use of the Trust Seal, the Register of Gifts and Hospitality and the Registers of Interests for the Board, Governors and Decision-Making Staff); and corporate governance sections on the Trust’s website.
