### Job overview

The postholder will act as Head of Corporate Governance supporting the role of Associate Director of Corporate Governance in ensuring that the Trust has in place, sound, integrated corporate governance policies, procedures and structures and the Trust complies with its legal, constitutional and regulatory requirements.

The full requirements of this role are set out in the job description.  The key responsibilities and duties will be in supporting the corporate governance function, to establish and uphold the standards of governance and drive improvement of standards across the Trust, along with practical support to the Trust Board and its Committees to ensure that the trust discharges its statutory responsibilities and operates in accordance with the Trust's Constitution and Standing Orders.

The postholder would also be required to manage departmental budgets and deputise for the Director of Corporate Affairs across the full range of their duties as appropriate.

## Person Specification

### Qualifications

**Essential**

- Educated to Master's degree Level or relevant  equivalent experience
- Evidence of continuing professional development
- Relevant qualification (Certificate in Corporate  Governance
- In depth professional knowledge in staff  management, performance management and  financial management
- Experience of working effectively to support a  corporate body that has a Board and formal  committee structure
- Ability to deal with highly complex, sensitive  situations, assessing and recommending courses  of action
- Experience of using a range of communication  methods targeting a range of audiences including  staff and the public
- Strong track record of internal and external  partnership working
- People management and development
- Understanding of budgetary and financial  management

**Desirable**

- Membership of an appropriate  professional body such as the  Institute of Chartered  Secretaries

### Knowledge and  Expertise

**Essential**

- Substantial experience in a senior management  position in an NHS organisation, preferably within a  healthcare environment
- Extensive experience, working at a senior level in a  large complex organization
- Experience of strategic thinking at a senior level
- Experience of analysing and presenting highly  complex information to a variety of audience often  against challenging deadlines.
- Experience of influencing and advising Senior  Managers on best practice in governance  approaches, particularly introducing service  improvement, significant organisational change  management and complex contexts
- Experience of working as a key stakeholder on  governance projects
- Experience of interpreting legislation, national  guidance and current best practices appropriate to  the role
- Experience of coaching and training managers on  governance issues
- Proven experience of staff involvement &  engagement and influencing large groups of staff
- Experience of leading and managing projects  successfully
- Experience of delivering a range of effective  governance interventions within a public sector  organisation
- Experience of workforce remodelling i.e. team  restructures
- Sound judgement, decision making and  organisational skills
