We are seeking a highly motivated individual to join us as Director of Corporate Affairs. This post is the Chief Executive's principal advisor on corporate governance, Board effectiveness, regulatory compliance, constitutional matters, and organisational assurance.

The postholder is responsible for ensuring the Trust operates to the highest standards of integrated governance, transparency, accountability, and stewardship, and that the Board receives robust assurance regarding the delivery of its statutory, regulatory, and strategic responsibilities.

This is an exciting opportunity to make a real difference at Medway NHS Foundation Trust and contribute to the Trust’s longer-term strategic plan.

### Main duties of the job

The Director of Corporate Affairs will oversee the development and continuous improvement of the Trust's integrated governance framework, ensuring a clear line of sight and assurance from frontline services through divisional and executive governance structures to Board committees and the Trust Board.

The postholder will act as Trust Secretary and Company Secretary and will provide expert advice to:

- Contribute to corporate leadership of the Trust: As a member of the senior leadership team, contribute actively to the strategic leadership, direction and performance of the Trust, sharing collective responsibility for the achievement of organisational objectives, delivery of high-quality patient care, financial sustainability, workforce effectiveness and regulatory compliance.
- Participate fully in the Executive Team and the Trust Leadership Team. Participate fully as a member of the Executive Team and Trust Leadership Team, contributing expert advice, constructive challenge and professional judgement to support effective decision-making, organisational improvement and the delivery of the Trust’s strategic ambitions.
- Provide visible leadership promoting NHS values and behaviours. Provide highly visible and values-based leadership across the organisation, role modelling NHS values, the Trust’s behavioural framework and the principles of compassionate, inclusive and collaborative leadership, fostering a culture where staff feel supported, empowered and accountable.
- As a senior leader of the Trust, the Director of Corporate Affairs will provide strategic oversight of the Trust's corporate governance framework, ensuring integrated governance arrangements are effective, proportionate, transparent, and aligned with statutory, regulatory, and best-practice requirements.
- Provide senior leadership for the assessment and continuous improvement of governance effectiveness, ensuring that the Board, Council of Governors, Board Committees, Subcommittees, and executive governance structures operate efficiently, fulfil their statutory responsibilities, and provide appropriate levels of challenge, scrutiny, and assurance.
- Working together with the Associate Director of Quality Governance, Risk & Compliance, lead the coordination and oversight of the Trust's compliance with NHS England statutory, regulatory and assurance requirements, ensuring that all submissions, returns, self-assessments and governance declarations are completed accurately, on time and supported by appropriate evidence and executive assurance.

- Highly developed influencing, persuading and communication and conflict management skills

### Knowledge

**Essential**

- Understanding and knowledge of risk management legislation and Board and assurance Frameworks
- Relevant legislation and statutory responsibilities required including Freedom of Information, Declarations of Interest, & risk management
- Working understanding of the constitution, NHS FT license, standing financial instructions and scheme of delegation
- Knowledge of the role of Governors in a Foundation Trust

### Experience

**Essential**

- Proven ability to operate at a strategic level
- Able to work with diverse stakeholders, including service users and carers
- Ability to work independently and proactively with minimal support and to adapt to changing circumstances
- Ability to assess, analyse, synthesise and act upon complex performance and financial information
