### Job summary

The Associate Director of Corporate Governance is a critically important role within the Trust, that facilitates the effective working of the Chair, Chief Executive Officer, Board of Directors and Council of Governors with both internal and external stakeholders across the Trust and the Integrated Care System (ICS) in order to support them to fulfil their commitments to the Trust and the Board of Directors. They ensure a system-wide approach to governance through the development of excellence in both policy and practice across the Trust.

This is a highly strategic and facilitative role that requires a combination of focus and flexibility, as well as a willingness to play an active, behind-the-scenes role to resolve issues. As gatekeeper and 'trusted counsel', the role requires a highly resourceful individual with strong emotional intelligence, diplomacy, the ability to engage with staff across the organisation, self-motivation and strong analytical skills. The post holder will also be required to manage multiple simultaneous deadlines while maintaining attention to detail.

### Main duties of the job

The post holder will be accountable for the strategic and operational corporate governance of the Trust at all levels, leading the design and ongoing development and delivery of a governance and assurance framework and service for the organisation, and ensuring that the Trust meets the standards of good governance set by NHS England and best practice standards.

The postholder will support the Chief Executive, Executive Directors, Chair and Senior Management teams in the formulation of strategy and policy, monitoring of strategic risks and the delivery of statutory and corporate responsibilities. The role has an operational delivery responsibility for the development, oversight and reporting of the Trust Strategy ensuring that internal and external stakeholders are engaged and that assurance is provided to the Board on delivery of the strategy.

## Person Specification

### knowledge

**Essential**

- Extensive management and leadership experience at a senior level in the NHS or similar large complex organisation
- Knowledge of legal and regulatory requirements pertaining to NHS Foundation Trust status.
- Successful track record of providing clear, balanced corporate governance advice and guidance within a complex organisation
- Extensive knowledge and practical experience of Board and Committee governance practice
- Knowledge of and practical application of processes for managing conflict of interests and Fit and Proper Persons requirements

**Desirable**

- Experience of working as a Trust Secretary in the NHS
- Experience of working at Board level in the NHS or at a senior level in a complex organisation
- Delivery of formal consultations and engagement with multiple stakeholder

### Qualifications

**Essential**

- Educated to Master's Degree level with relevant postgraduate qualifications.
- Chartered Company Secretary through the Chartered Governance Institute or equivalent Corporate Governance Qualification
- Associate or Fellow membership of the Institute of Chartered Secretaries & Administrators (ICSA).
- Evidence of sustained personal and professional development
